Terms of Service

By accessing or using Tracklytix ("the Platform"), operated by Tracklytix Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, and others who access or use the Platform, including any associated mobile applications, APIs, and services.

Tracklytix is a business management platform designed for service businesses. The Platform provides tools for lead management, customer relationship management (CRM), quote and invoice generation, payment tracking, expense management, profit analytics, mileage tracking, and workflow automation.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for an extended period.

The Platform enables you to generate invoices and track payments for your business clients. You acknowledge that Tracklytix acts as a tool to facilitate your billing processes and does not serve as a payment processor, bank, or financial institution.

You are solely responsible for the accuracy of invoices you generate, the collection of payments from your clients, compliance with applicable tax laws, and any disputes that arise between you and your clients regarding invoiced amounts.

If we integrate third-party payment processors in the future, your use of such services will also be subject to the payment processor's terms of service.

The Platform and its original content, features, and functionality are owned by Tracklytix Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse engineer or attempt to extract the source code, unless expressly permitted by law.

You retain all rights to data, content, and materials you upload, submit, or create through the Platform ("User Content"). By using the Platform, you grant us a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing and improving the Platform.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to other accounts or systems
• Use the Platform for fraudulent invoicing or deceptive billing practices
• Scrape, crawl, or use automated means to access the Platform without permission
• Interfere with or disrupt the Platform's infrastructure or other users' access

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or secure. We do not guarantee the accuracy or completeness of any financial calculations, reports, or analytics provided by the Platform.

To the maximum extent permitted by law, Tracklytix Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of (or inability to access or use) the Platform
• Any conduct or content of any third party on the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Errors in invoices, financial calculations, or reports generated by the Platform

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will cease immediately. You may request export of your data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Platform at least 30 days before the changes take effect.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.
